GTM Layer LLC ("we," "us," or "our") operates the website www.gtmlayer.com (the "Site"). These Terms and Conditions govern your access to and use of the Site.
These Terms and Conditions ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity) and GTM Layer, LLC ("Company," "we," "us," or "our"), concerning your access to and use of the www.gtmlayer.com website as well as any related media channels, mobile websites, or applications (collectively, the "Site").
By accessing the Site, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Site and must discontinue use immediately.
GTM Layer provides Revenue Operations (RevOps) and Go-To-Market (GTM) engineering consulting services exclusively to B2B SaaS companies. Our services include strategic roadmap development, revenue architecture design, CRM and marketing automation platform implementation, workflow automation, data enrichment, and operational enablement.
Important: These Terms govern your use of our website only. All consulting services are provided under separate, individually negotiated Service Agreements that contain specific terms regarding scope, deliverables, pricing, intellectual property, confidentiality, and liability limitations.
Our consulting services are advisory and technical in nature. We provide strategic guidance, system implementation, and operational infrastructure development. We do not guarantee specific business outcomes, revenue targets, or performance metrics as results depend on numerous factors outside our control, including but not limited to: client execution and adoption of recommendations, market conditions and competitive dynamics, quality and accuracy of data provided by client, client team capacity and engagement, and third-party platform limitations and changes.
WHILE WE PROVIDE PROFESSIONAL SERVICES TO THE BEST OF OUR ABILITY, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING SPECIFIC BUSINESS RESULTS, REVENUE INCREASES, COST SAVINGS, OR OTHER QUANTIFIABLE OUTCOMES. OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
Our Site and services are intended solely for business-to-business (B2B) transactions. By using this Site or engaging our services, you represent and warrant that you are accessing the Site and services on behalf of a business entity, you are at least 18 years of age and have the legal authority to bind your organization, your organization is engaged in lawful business activities, and you are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country.
GTM Layer is an independent business entity engaged to provide specialized consulting and technical services. Nothing in these Terms or any Service Agreement shall be construed to create an employer-employee relationship, partnership, joint venture, or agency relationship between GTM Layer and any Client or website user.
All content, features, and functionality on the Site—including but not limited to text, graphics, logos, icons, images, video clips, data compilations, software code, design elements, and the compilation thereof—are the exclusive property of GTM Layer, LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
We retain all rights, title, and interest in our proprietary frameworks and methodologies, templates and playbooks, standard operating procedures developed independently of client engagements, training materials and enablement content, software tools, scripts, and code libraries created by GTM Layer, and general know-how and expertise accumulated through our practice.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view the Site content for personal, non-commercial informational purposes. You may NOT modify, reproduce, distribute, or create derivative works from Site content, use any content for commercial purposes without our express written consent, use automated systems to access or collect content, or use our methodologies, frameworks, or templates without a valid Service Agreement.
For clients with executed Service Agreements: Upon full and final payment for services, clients own the specific, final deliverables created uniquely for them. However, GTM Layer retains ownership of all underlying methodologies, frameworks, templates, and approaches used to create those deliverables.
When using our Site, you agree NOT to: violate any applicable laws or regulations; violate our or any third party's intellectual property, privacy, or proprietary rights; impersonate GTM Layer, an employee, or another user; engage in conduct that restricts anyone's use of the Site; introduce viruses or harmful code; attempt unauthorized access to any portion of the Site; use automated systems to extract data; use the Site for commercial solicitation without consent; submit false or misleading information; or use the Site to gather competitive intelligence.
The Site may contain links to third-party websites, applications, tools, or resources. These links are provided for your convenience only. We do not endorse, warrant, or guarantee any third-party content, products, or services; control or assume responsibility for the content, privacy policies, or practices of third-party sites; or accept liability for any loss or damage arising from your use of third-party sites. Clients are solely responsible for maintaining active licenses and subscriptions to required platforms and ensuring compliance with platform terms of service.
We take the protection of your personal information seriously. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to our collection and use of your information as described in the Privacy Policy. When providing consulting services, clients retain ownership of all their business data, customer data, and proprietary information. GTM Layer acts as a data processor on behalf of clients when accessing client systems.
THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, GTM LAYER, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF CONTENT; WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; AND WARRANTIES REGARDING RESULTS OBTAINED FROM THE USE OF THE SITE.
IN NO EVENT SHALL GTM LAYER, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS OR REVENUE, LOSS OF DATA OR BUSINESS INFORMATION, LOSS OF BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00). Services liability is governed by the individual Service Agreement.
We reserve the right to modify, suspend, or discontinue the Site at any time, with or without notice. We may update, change, or modify these Terms at any time at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page and provide notice on the Site homepage for at least 30 days for significant changes. Your continued use of the Site following the posting of revised Terms means you accept and agree to the changes.
The Site is controlled and operated from our facilities in the United States. If you access the Site from outside the United States, you do so at your own risk and are responsible for compliance with local laws. These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any legal action arising out of these Terms shall be instituted exclusively in the federal or state courts located in Wyoming.
Before initiating any formal dispute resolution proceedings, the parties agree to first attempt to resolve any dispute informally by contacting us at support@gtmlayer.com with your name, contact information, a description of the dispute, and the resolution you are seeking. We will attempt to resolve the dispute informally within 30 days. For disputes arising solely from website use, either party may elect binding arbitration in Wyoming under the rules of the American Arbitration Association. Dispute resolution for consulting services is governed by the applicable Service Agreement.
You agree to defend, indemnify, and hold harmless GTM Layer, LLC and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use or misuse of the Site, your violation of any rights of a third party, any content or information you submit through the Site, or your violation of any applicable laws or regulations.
We may, at our sole discretion, terminate or suspend your access to all or part of the Site immediately, without prior notice or liability, for any reason, including breach of these Terms, providing false information, engaging in fraudulent activities, or behavior that harms GTM Layer or other users. Upon termination, your right to use the Site will immediately cease. Termination of website access does not automatically terminate any executed Service Agreement, which will continue to be governed by its own termination provisions.

These Terms, together with our Privacy Policy and any other legal notices published on the Site, constitute the entire agreement between you and GTM Layer concerning your use of the Site. These Terms do NOT constitute or govern any consulting services engagement, which requires a separate executed Service Agreement. If any provision is found unlawful or unenforceable, it shall be deemed severable. Our failure to enforce any right will not be considered a waiver. You may not assign these Terms without our written consent. We shall not be liable for failure due to causes beyond our reasonable control, including acts of God, natural disasters, pandemics, or network failures.
